Greenopia Business Assessment and Platform Terms & Conditions

PLEASE READ THESE TERMS CAREFULLY. BY SUBMITTING THIS ASSESSMENT, THE BUSINESS AGREES TO BE BOUND BY THESE TERMS AND CONDITIONS.

These Terms and Conditions (“Terms”) govern the access to and use of the Greenopia Sustainability Assessment and the subsequent display of Business Information and Sustainability Scores (“Service”) by the business submitting the information (“Business” or “You”).

1. The Greenopia Service and Platform Eligibility

1.1. Service Description

Greenopia provides a sustainability assessment tool for businesses. Based on the data provided, Greenopia calculates a Sustainability Score across three pillars: Good for You, Good for the Planet, and Good for the Community. This Score is used to assign Badges displayed in the Greenopia Consumer Application (the “App”). The Service also allows the Business to showcase its efforts via the App by providing Business Information, including: photos, 'Eco Tags,' a descriptive summary, location, and contact details.

1.2. Platform Eligibility and Listing

The Business will be included in Greenopia's platform listings of sustainable, local businesses provided the Business achieves a passing score in at least one (1) of the three (3) Sustainability Pillars. Meeting this minimum threshold confirms the eligibility of the business to be listed in the App, subject to all other terms herein. Greenopia reserves the right to determine the passing criteria for each pillar. Businesses may re-take the assessment periodically in order to update their scores. Greenopia reserves the right to determine how frequently businesses may update their assessment.

1.3. Public Display and User Interaction

The Business acknowledges that all Business Information will be publicly displayed and visible to users of the Greenopia App. Furthermore, the Business expressly agrees and understands that Greenopia users will have the ability to engage with the Business’s profile, including the ability to comment on, 'like,' or flag the Business. The Business assumes all risk and responsibility associated with its public listing and subsequent user-generated content.

2. Data Submission and Accuracy

2.1. Sole Responsibility for Information

The Business acknowledges that it has sole and complete responsibility for all information, data, photos, 'Eco Tags,' descriptions, and representations made on the Greenopia platform.

2.2. Representation and Warranty

By submitting data, the Business represents and warrants that:

  • All data provided is accurate, truthful, complete, and verifiable.

  • The Business Information provided is a fair representation of current practices and does not mislead consumers.

  • The Business has all necessary rights and licenses for submitted photos and indemnifies Greenopia against any copyright claims.

3. License and Data Usage Rights

3.1. License Granted by Business

The Business hereby grants Greenopia a worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, display, and distribute the assessment data and Business Information solely for the purpose of operating the Greenopia Service. This license is perpetual for the duration of the Business’s participation in the Service and shall terminate upon the removal of the Business from the platform, subject to the terms in Section 7 (Termination).

3.2. Proprietary Scoring Methodology

The Sustainability Score and Badges are the exclusive property of Greenopia and are generated by Greenopia’s proprietary methodology. Greenopia reserves the right to update the scoring algorithm at any time.

3.3. Aggregate Data Use

The Business agrees that Greenopia may use aggregated and anonymized assessment data for market analysis and research. This right survives the termination of these Terms.

4. Disclaimers and Limitation of Liability

4.1. Greenopia is Not a Ratings Agency

Greenopia is a platform for self-reported sustainability efforts; it is not a certification or auditing agency.

4.2. Informational Purposes Only

The Score and Badges are for informational guidance only and do not constitute legal or compliance advice.

4.3. Suspension and Removal

Greenopia reserves the right, at its sole discretion, to suspend or remove the Business’s profile if it suspects a violation of these Terms or if the Business no longer meets eligibility criteria.

5. Indemnification

The Business agrees to indemnify and hold harmless Greenopia from any claims or losses arising from a breach of warranties, misleading information, or user-generated content associated with the Business's profile.

6. Termination by Business

6.1. Voluntary Removal

The Business may request to be removed from the Greenopia App and platform at any time by providing written notice to Greenopia at support@greenopia.com.

6.2. Effect of Termination

Greenopia will use commercially reasonable efforts to remove the Business’s public profile, Sustainability Score, and Badges within thirty (30) days of receiving the request. Upon removal, the license granted in Section 3.1 to publicly display Business Information shall terminate.

6.3. Data Retention

Notwithstanding voluntary removal, Greenopia may retain archived copies of raw assessment data for internal record-keeping, legal compliance, or as part of anonymized aggregate datasets.

7. General Provisions

Governing Law: These Terms shall be governed by the laws of the State of California, USA.

Entire Agreement: These Terms constitute the entire agreement between the Business and Greenopia.

Modifications: Greenopia reserves the right to modify these Terms. Continued use of the Service after notification of changes constitutes acceptance of the new Terms.
